Six Things to Consider Before Buying a Business

Have you thought about buying a business? Here are six factors to consider that might help you make a more informed decision.

Buying a business can be rewarding, but there are considerations to keep in mind before deciding to make the purchase. Here are six things to consider before moving forward with an acquisition.

1. Know What You Want to Accomplish

Before buying a business, know exactly what it is you hope to accomplish. Know your business objectives. These could include entering a new market, acquiring a specific technology, or any number of other goals, but make sure you have firm plans, so you know where to start once the acquisition is complete.

2. Know the Talent That's in Place

Will the purchased company's team be coming along with the acquisition? If so, get to know these employees before you make the purchase. Get a sense of key team members' plans about remaining with the company or moving on. In some cases, the business you're buying may be only as good as the people involved in making it run. Buying a company that is reliant on specific talent is risky if there's a strong chance that talent isn't coming along with the purchase.

3. Know About the Financial Health of the Business

You need to know as much as possible about the financial health of the business.

"Understanding the financial history should be one of your top priorities," says Pierre Raymond at Entrepreneur.* "Learning how the business operates, where the majority of its revenue streams may be, how much debt it may be carrying and how income is distributed among all channels of the business will help a better picture of the overall health of the business. Additionally, you will need to consider whether the company is up to date with its tax filings, whether owners have disclosed all available financial information and how they manage their financial accounts with their suppliers."

4. Ask Why the Business is for Sale

Ask yourself why the business is for sale. Are there problems that you'll inherit that make the business a risk? You can discuss this with the seller, but there might be things that they aren't willing to reveal. That's why you need to do as much research as you can ahead of the purchase. Talk to anyone involved with the company that's willing to make themselves available and try to obtain as much information as possible. A thorough review of the financials can also be very revealing.

5. Get to Know the Broader Industry

It's a good idea to learn about the industry before you enter it. If you're looking to buy a company in an industry in which you don’t have experience, it's crucial that you learn as much as possible. Look into market size, trends, and growth opportunities associated with the industry, and be aware of any related regulations. Know your demographics and the technologies that industry leaders are utilizing.

6. Consider the Competitors

Know the competition before buying a business. Look into competitors' market shares, and what they have to provide customers that the business you're buying might be lacking. Is there enough of an opportunity for you to compete as a new entrant into the industry? Knowing the competition will help you with decision making and can ultimately help you determine if your purchase is worth the investment.

Before you buy a business, you need to know as much about it as possible, and you should learn just as much about the competition and the industry. The more you research, the better informed your purchase decision will be.
